Introduction

Soupah Farm-en-Market provides an automated savings and investment platform available on our website and through mobile applications.  The terms “our”, “us”, and “we” refer to Soupah-en-Market Limited. These terms are to be read by you, together with any other terms, conditions or disclaimers provided in the pages of our website. Please review the Terms carefully. If you access and use this website and our services, you accept and agree to be bound by and comply with the Terms and our Privacy Policy. If you do not agree to the Terms or our Privacy Policy, you are not authorized to access our website, use any of our website’s services or place an order on our website.

Eligibility and service usage

Our services are intended solely for individuals who are Nigerian citizens who are 18 or older and are legally capable of entering into a binding contract. Any access to or use of Soupah Farm-en-Market Limited by anyone under 18 is unauthorized, unlicensed, and in violation of these Terms of Use. By accessing or using Soupah Farm-en-Market Limited Apps, you represent and warrant that you are 18 or older. When you access our website or our mobile applications as a User and Client, you’re agreeing to be bound by the Terms of Use. By agreeing to the Terms, you have reached a decision to use our website and services for legitimate purposes and not for any illegal or unauthorized purpose, including without limitation, in violation of any intellectual property or privacy law. You agree not to attempt to interfere with our website’s network or security features or to gain unauthorized access to our systems. You agree to provide us with accurate personal information, such as your email address, mailing address, mobile device number, online credentials for your Bank Account and other contact details in order to complete your order or contact you as needed.

A copy of your government-issued photo ID, such as a passport or driver’s license; A copy of a utility bill, bank statement, affidavit, or other bills, dated within three months of our request, with your name and Nigerian street address on it; and Such other information and documentation may be required from time to time.

Accessibility

In order to access certain features of Soupah farm-en-market, you must register to create a user Account. When you register, you will be asked to choose a password, which you will be required to use to access your User Account. Soupah farm-en-market has physical, electronic and procedural safeguards that comply with regulatory standards to guard Users’ and Clients’ non-public personal information (see Privacy Policy). You are responsible for safeguarding your password and other User Account information. You agree not to disclose your password to any third party and you will notify Soupah farm-en-market immediately if your password is lost or stolen or if you suspect any unauthorized use of your User Account. As a User you agree that you shall be solely responsible for any activities or actions under your User Account, whether or not you have authorized such activities or actions. You agree that the information you provide to us on account registration through our website or mobile applications will be true, accurate, current, and complete.

Communication Means

Once you create a User Account, you automatically sign up for various types of alerts via e-mail and mobile notification. We never include your password in these communications, but we may include your name, or email address and information about your portfolio(s) if you are a Client. Anyone with access to your e-mail or mobile device will be able to view these alerts. You may unsubscribe from marketing oriented emails at any time

Fees and Charges

The purpose of the Services is to power the agribusiness community; from the agri-input retailers, the farmers & agribusinesses, the food businesses, the service providers and down to the investors. Soupah connects corporate clients, their growing Agribusiness/Farmer suppliers and financial investors, making it easier for SMEs to get easy, affordable and fast payment of accounts receivable. Payment on the website is quite simple, payments can be done through the Flutterwave option as Flutterwave has been integrated into the Soupah website. Customers can make payments with their bank accounts by a click on the “Pay with Bank” option on the payment modal. Then select a bank from the list of banks available, and input their bank account number, and they will be taken through the authorization steps on how to make payment. Customers can also make payments by simply making a transfer to the account number provided on the website and application. By agreeing with our terms and conditions, you hereby acknowledge that may incur certain other charges imposed by third-party financial institutions. These additional costs may include, and are not limited to bank transfer fees, transfer taxes etc. You understand that these fees are not included in the fee that you pay to Soupah.

In the event of late payment, Soupah will charge you a late payment fee. The late payment is 0.50% on the stipulated amount, which will start counting from the third day beyond the originally slated date. This fee is fixed by Soupah and it may be revised from time. By agreeing to the Terms, you hereby acknowledge that may incur certain other charges imposed by third-party financial institutions. These additional costs may include, and are not limited to bank transfer fees, transfer taxes etc. You understand that these fees are not included in the fee that you pay to Soupah.

You also agree to allow Soupah to send you payment reminders from time-to-time. You also agree that payment reminders may take the form of any available communication. Defaults may occur when you (the User) fails to repay the sum allocated to you at the due date of payment and after notifications have been sent to you to make payment. FAILURE TO PAY MAY AFFECT YOUR CREDIT SCORE. Defaults also occur where the information you supplied to us are discovered to be false, and where Soupah’s right becomes prejudiced, thereby causing Soupah damage or loss. In the event of default in payment, Soupah has the following rights:

·         contact you directly and submit your information to a collection’s agency through our Recovery Officers

·         Soupah will notify the Credit Bureau of your default.

·         Soupah may institute legal proceedings against you and is under no obligation to inform you before the proceedings commence.

·         You shall be responsible for all legal costs and expenses incurred by Soupah in attempting to obtain repayment of any outstanding balance owed by you. Interest on any amount which becomes due and payable shall be charged.

Fee Payment

Payment of fees generally will be made by transfer of funds from your Soupah account to your Bank Account with your notice. If an investor requests a withdrawal before the stipulated maturity date, the initial capital deposited will be sent to the provided account. However, the amount sent will not include the agreed ROI that should have accrued to the capital.

Disclaimer and Limit of Liability

You understand and acknowledge that the investment results you could obtain from investment information and financial insights provided by Soupah cannot be guaranteed and that Soupah cannot be held responsible. All investments entail a risk of loss and that you may lose money. Investment management services may be offered to individuals who become clients, at the sole discretion of Soupah. Your election to engage our investment services are subject to your explicit enrollment and acceptance of this Terms of Use. You agree and understand that your use of Soupah is for educational purposes only and is not intended to provide legal, tax or financial planning advice. Soupah Farm-en-Market is not a financial adviser, and the Services are not intended to provide financial advice. Your financial situation is unique. We do not make any representations, warranties, or guarantees of any kind that the Services are appropriate for you. Before using the Services, you should consider obtaining additional information and advice from a financial adviser. You agree as a User that you are responsible for your own investment research and investment decisions, that Soupah is only one of many tools you may use as part of a comprehensive investment education process, that you should not and will not rely on Soupah as the primary basis of your investment decisions and, except as otherwise provided for herein, Soupah will not be liable for decisions/actions you take or authorize third parties to take on your behalf based on information you receive as a User of Soupah or information you otherwise see on our website.

Summary of agreement

The Terms and supersede any prior agreement, understanding or arrangement between you and us, whether oral or in writing. You represent that we have not made any guarantee, either oral or written, that your investment objective will be achieved or that the value of any Account assets will not decline. Nothing in this Agreement may be interpreted to limit or modify our fiduciary duties to you and nothing in this Agreement shall be deemed a waiver of any right or remedy that you may have under the applicable laws.

Soupah expressly disclaims all warranties of any kind, express, implied or statutory, relating to Soupah’s website, content and/or user information, including without limitation the warranties of title, merchantability, fitness for a particular purpose, non-infringement of proprietary rights, course of dealing or course of performance. Soupah disclaims any warranties, express or implied:

1.      Regarding the availability, security, accuracy, reliability, timeliness and performance of Soupah’s website, content and/or user information;

2.      That Soupah’s website will be error-free or that any errors will be corrected;

3.      That Soupah’s website will be free from electronic viruses; or

4.      Regarding the performance of or accuracy, quality, currency, completeness or usefulness of any information provided by Soupah on its website including but not limited to information obtained through social media.

Limitation of liability

To the fullest extent permitted by applicable law, you agree that Soupah, its affiliates, and its and their respective employees, officers, directors, agents, and third-party service providers will not be liable to you or any third party for:
(a) the performance of the services or the inability to use the services;
(b) any indirect, incidental, special, consequential, punitive, or exemplary damages, whether based in contract, tort, or otherwise, including, but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, even if such persons have been advised of the possibility of such damages, which arise out of or are in any way connected with these terms, the services, or content;
(c) any amount, in the aggregate, in excess of the greater of 20,000 naira or the amount transferred from your debit card to your Soupah account via the services; or
(d) any event beyond our reasonable control. some states do not allow the exclusion or limitation of certain damages, so the above limitation and exclusions may not apply to you.

Termination

In addition to any other legal or equitable remedies, we may, without prior notice to you, immediately terminate the Terms and Conditions of Use or revoke any or all of your rights granted under the Terms and Conditions of Use. Upon any termination of this Agreement, you shall immediately cease all access to and use of the Site and we shall, in addition to any other legal or equitable remedies, immediately revoke all password(s) and account identification issued to you and deny your access to and use of this Site in whole or in part. Any termination of this agreement shall not affect the respective rights and obligations (including without limitation, payment obligations) of the parties arising before the date of termination. You furthermore agree that the Site shall not be liable to you or to any other person as a result of any such suspension or termination.

If you are dissatisfied with the Site or with any terms, conditions, rules, policies, guidelines, or practices of Soupah.com in operating the Site, your sole, and exclusive remedy is to discontinue using the Site.
